{"id":52234,"date":"2015-01-07T16:32:27","date_gmt":"2015-01-07T16:32:27","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=abdcd3601ab7dd4e7fe39fae8fd5e099"},"modified":"2015-01-07T16:32:27","modified_gmt":"2015-01-07T16:32:27","slug":"news-story-cma-confirms-lubricants-merger-investigation","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=52234","title":{"rendered":"News story: CMA confirms lubricants merger investigation"},"content":{"rendered":"<div class=\"govspeak\">\n<p>In December the Competition and Markets Authority (CMA) said <a href=\"https:\/\/www.gov.uk\/government\/news\/lubricants-merger-faces-phase-2-investigation-unless-undertakings-offered\">that it would refer the merger for a full investigation<\/a> unless the parties offered acceptable undertakings to address the CMA\u2019s competition concerns around the supply of personal lubricants to grocery retailers and national retail pharmacy chains in the UK.<\/p>\n<p>Reckitt Benckiser has offered undertakings intended to address the concerns identified. After careful consideration the CMA was not confident that these would resolve the concerns in a clear-cut manner (see note below). The CMA has therefore decided to refer the merger for an in-depth phase 2 investigation.<\/p>\n<p>A decision on the merger will be made by a group of independent panel members supported by a case team of CMA staff.<\/p>\n<p>All information relating to the investigation is available on the <a href=\"https:\/\/www.gov.uk\/cma-cases\/-reckitt-benckiser-johnson-johnson\">case page<\/a>.<\/p>\n<h3 id=\"note\">Note<\/h3>\n<p>Section 73(3) of the Enterprise Act states: \u201c\u2026the CMA shall, in particular, have regard to the need to achieve as comprehensive a solution as is reasonable and practicable to the substantial lessening of competition and any adverse effects resulting from it.\u201d In the <a href=\"https:\/\/www.gov.uk\/government\/publications\/mergers-guidance-on-the-cmas-jurisdiction-and-procedure\">Mergers: Guidance on the CMA\u2019s jurisdiction and procedure<\/a>, paragraph 8.3 states that: \u201cthe CMA must be confident that the competition concerns identified will be resolved by means of the UILs (undertakings in lieu) offered without the need for further investigation.
