{"id":56353,"date":"2015-04-14T13:46:31","date_gmt":"2015-04-14T13:46:31","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=04eadf75ef724e08f8135a9025e5b6de"},"modified":"2015-04-14T13:46:31","modified_gmt":"2015-04-14T13:46:31","slug":"news-story-cma-to-look-in-detail-at-proposed-undertakings-for-media-databases-merger","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=56353","title":{"rendered":"News story: CMA to look in detail at proposed undertakings for media databases merger"},"content":{"rendered":"<div class=\"govspeak\">\n<p>Last month the Competition and Markets Authority (<abbr title=\"Competition and Markets Authority\">CMA<\/abbr>) <a href=\"https:\/\/www.gov.uk\/government\/news\/media-contact-databases-merger-could-lessen-competition\">announced<\/a> its concerns that the acquisition could lessen competition in relation to the supply of media contact databases. These databases provide lists and details for journalists, writers, publications and other outlets to help private and public organisations communicate their work effectively.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> said that <abbr title=\"GTCR Canyon UK Investments Ltd\">GTCR<\/abbr> Canyon UK Investments Ltd (<abbr title=\"GTCR Canyon UK Investments Ltd\">GTCR<\/abbr>) could avoid an in-depth phase 2 merger investigation if it offered an acceptable solution to remedy the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s competition concerns in a clear-cut, effective and timely manner. As a result <abbr title=\"GTCR Canyon UK Investments Ltd\">GTCR<\/abbr> has offered an undertaking comprising a structural divestment to a suitable upfront buyer able to remedy the competition concerns identified by the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>. <\/p>\n<p>In this case, the proposed undertaking includes businesses that at present are part of international groups. The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> considers that seeking an upfront buyer is appropriate in this case to ensure the ongoing commercial viability of the divested businesses. The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has decided that there are reasonable grounds for believing that the undertakings offered by <abbr title=\"GTCR Canyon UK Investments Ltd\">GTCR<\/abbr>, or a modified version of them, might be accepted in lieu of a reference to a more detailed phase 2 merger investigation.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> now has until 11 June 2015 to consider whether to accept the undertakings, or a modified version. It can extend this deadline if there are special reasons for doing so.<\/p>\n<p>As part of this consideration process, the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> will undertake a public consultation on whether the proposed undertakings, including the proposed purchaser for the divestment, are sufficient to address the competition concerns.
