{"id":59336,"date":"2015-07-17T14:00:19","date_gmt":"2015-07-17T14:00:19","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=170b20375f8790924ea459461948209f"},"modified":"2015-07-17T14:00:19","modified_gmt":"2015-07-17T14:00:19","slug":"press-release-rendering-merger-faces-in-depth-investigation-unless-undertakings-offered","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=59336","title":{"rendered":"Press release: Rendering merger faces in-depth investigation unless undertakings offered"},"content":{"rendered":"<div class=\"govspeak\">\n<p>The Competition and Markets Authority (<abbr title=\"Competition and Markets Authority\">CMA<\/abbr>) has found that the completed acquisition gives rise to a realistic prospect of a substantial lessening of competition in the processing of animal by-products from non-fallen stock and fallen stock in Northern Ireland. Customers include meat processors, such as abattoirs and slaughterhouses, and purchasers of outputs from the rendering process.<\/p>\n<p><abbr title=\"Linergy Limited\">Linergy<\/abbr> Limited (<abbr title=\"Linergy Limited\">Linergy<\/abbr>) and Ulster Farm By-Products Limited (<abbr title=\"Ulster Farm By-Products Limited\">UFBP<\/abbr>) had plans to merge in 2011\/12. However, in March 2012, following the decision of the Office of Fair Trading (<abbr title=\"Office of Fair Trading\">OFT<\/abbr>) to refer that merger to the Competition Commission for an in-depth phase 2 investigation, <abbr title=\"Linergy Limited\">Linergy<\/abbr> and <abbr title=\"Ulster Farm By-Products Limited\">UFBP<\/abbr> abandoned their merger plans. Shortly after the merger was abandoned, <abbr title=\"SAPI SpA\">SAPI<\/abbr> SpA (<abbr title=\"SAPI SpA\">SAPI<\/abbr>) acquired <abbr title=\"Ulster Farm By-Products Limited\">UFBP<\/abbr>. On 8 May 2015, <abbr title=\"Linergy Limited\">Linergy<\/abbr> acquired <abbr title=\"Ulster Farm By-Products Limited\">UFBP<\/abbr> from <abbr title=\"SAPI SpA\">SAPI<\/abbr>, and <abbr title=\"SAPI SpA\">SAPI<\/abbr> acquired 30% of the combined <abbr title=\"Linergy Limited\">Linergy<\/abbr>\/<abbr title=\"Ulster Farm By-Products Limited\">UFBP<\/abbr>. <\/p>\n<p>Andrea Coscelli, <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> \u200eExecutive Director, Markets and Mergers and decision-maker in this case, said:<\/p>\n<blockquote>\n<p>Processors of animal by-products and fallen stock play an important role in the food service industry.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has found that the merger between <abbr title=\"Linergy Limited\">Linergy<\/abbr> and <abbr title=\"Ulster Farm By-Products Limited\">UFBP<\/abbr> may lead to a substantial lessening of competition in the processing of animal by-products and fallen stock in Northern Ireland, giving rise to the prospect of increased prices or reduced quality of service to meat processors.<\/p>\n<p class=\"last-child\">Unless <abbr title=\"Linergy Limited\">Linergy<\/abbr> offers acceptable undertakings which resolve the competition concerns, this transaction will face an in-depth investigation to ensure that it will not result in a substantial lessening of competition.<\/p>\n<\/blockquote>\n<h3 id=\"notes-for-editors\">Notes for editors<\/h3>\n<ol>\n<li>The phrase \u2018animal by-products\u2019 refers to what remains of an animal after meat and offal for human consumption, and other uses, has been removed. The phrase \u2018fallen stock\u2019 refers to animals that have died on farms.<\/li>\n<li>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is the UK\u2019s primary competition and consumer authority. It is an independent non-ministerial government department with responsibility for carrying out investigations into mergers, markets and the regulated industries and enforcing competition and consumer law. From 1 April 2014 it took over the functions of the Competition Commission and the competition and certain consumer functions of the <abbr title=\"Office of Fair Trading\">OFT<\/abbr>, as amended by the Enterprise and Regulatory Reform Act 2013.<\/li>\n<li>Under the Enterprise Act 2002 (<abbr title=\"Enterprise Act 2002\">the Act<\/abbr>) the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has a duty to make a reference to phase 2 if the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> believes that it is or may be the case that a relevant merger situation has been created, or arrangements are in progress or in contemplation which, if carried into effect, will result in the creation of a relevant merger situation; and the creation of that situation has resulted, or may be expected to result, in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.<\/li>\n<li>Under <abbr title=\"Enterprise Act 2002\">the Act<\/abbr> a relevant merger situation is created if 2 or more enterprises have ceased to be distinct enterprises; and the value of the turnover in the United Kingdom of the enterprise being taken over exceeds \u00a370 million (\u2018the turnover test\u2019) or as a result of the transaction, in relation to the supply of goods or services of any description, a 25% share of supply in the United Kingdom (or a substantial part thereof) is created or enhanced (\u2018the share of supply test\u2019).<\/li>\n<li>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s duty to refer the merger for a phase 2 investigation under section 33(1) of <abbr title=\"Enterprise Act 2002\">the Act<\/abbr> is not exercised whilst the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is considering whether to accept undertakings (if offered) under section 73 of <abbr title=\"Enterprise Act 2002\">the Act<\/abbr> in lieu of a reference. <abbr title=\"Linergy Limited\">Linergy<\/abbr> has until 24 July 2015 to offer an undertaking to the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> that might be accepted by the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> under section 73(2) of <abbr title=\"Enterprise Act 2002\">the Act<\/abbr>. If no undertaking is offered or accepted, then the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> will by 31 June 2015 refer the merger.<\/li>\n<li>All the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s functions in phase 2 merger inquiries are performed by inquiry groups chosen from the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s panel members. The appointed inquiry group are the decision-makers on phase 2 inquiries. The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s panel members come from a variety of backgrounds, including economics, law, accountancy and\/or business.
