{"id":60427,"date":"2015-08-17T13:01:09","date_gmt":"2015-08-17T13:01:09","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=ff5b7edc29ae4b3210e08357e7a8794b"},"modified":"2015-08-17T13:01:09","modified_gmt":"2015-08-17T13:01:09","slug":"press-release-bowling-merger-may-give-rise-to-competition-concerns","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=60427","title":{"rendered":"Press release: Bowling merger may give rise to competition concerns"},"content":{"rendered":"<div class=\"govspeak\">\n<p>The Competition and Markets Authority (<abbr title=\"Competition and Markets Authority\">CMA<\/abbr>) has found that The Original Bowling Company Ltd\u2019s (<abbr title=\"The Original Bowling Company Ltd\">TOBC<\/abbr>) acquisition of <abbr title=\"Bowlplex Ltd\">Bowlplex<\/abbr> Ltd (<abbr title=\"Bowlplex Ltd\">Bowlplex<\/abbr>) may result in a substantial lessening of competition. <\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s competition concerns focus on 6 local areas where the companies both run ten-pin bowling facilities \u2013  Bristol, Bracknell, Cardiff, Dudley, Leeds\/Castleford and Glasgow.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> considered a range of evidence in reaching its decision, including the extent to which <abbr title=\"The Original Bowling Company Ltd\">TOBC<\/abbr> and <abbr title=\"Bowlplex Ltd\">Bowlplex<\/abbr> compete for customers in a given local area, the presence and strength of alternative ten-pin bowling options, and the companies\u2019 incentive to increase prices following a merger. <\/p>\n<p>The evidence available to the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> suggests that, in local markets in Bristol, Bracknell, Cardiff, Dudley, Leeds\/Castleford and Glasgow, the companies compete closely and that there may be insufficient competition from alternative ten-pin bowling providers to replace that lost as a result of the merger.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> did not find any competition concerns in other areas of the UK where the companies\u2019 activities overlap.<\/p>\n<p><abbr title=\"The Original Bowling Company Ltd\">TOBC<\/abbr> now has 5 working days in which it can offer undertakings to resolve the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s competition concerns.<\/p>\n<p>Sheldon Mills, <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> Senior Director of Mergers and decision-maker in this case, said:<\/p>\n<blockquote>\n<p>Bowling is a popular and growing leisure activity in the UK enjoyed by many families and individuals. This merger brings together 2 of the largest national chains in the sector, The Original Bowling Company and <abbr title=\"Bowlplex Ltd\">Bowlplex<\/abbr>. In 6 local areas, where the companies\u2019 bowling centres are competing closely, we are concerned that after the merger there will be insufficient competition from other bowling operators in the area to prevent higher prices or lower service levels.<\/p>\n<p class=\"last-child\">We therefore propose to refer the merger for an in-depth investigation unless <abbr title=\"The Original Bowling Company Ltd\">TOBC<\/abbr> offers a clear-cut remedy to address our competition concerns.<\/p>\n<\/blockquote>\n<h3 id=\"notes-for-editors\">Notes for editors<\/h3>\n<ol>\n<li>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is the UK\u2019s primary competition and consumer authority. It is an independent non-ministerial government department with responsibility for carrying out investigations into mergers, markets and the regulated industries and enforcing competition and consumer law. <\/li>\n<li>Under the Enterprise Act 2002 (<abbr title=\"Enterprise Act 2002\">the Act<\/abbr>) the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has a duty to make a merger reference, resulting in an in-depth phase 2 merger investigation, if it believes that it is or may be the case that a \u2018relevant merger situation\u2019 has been created, or arrangements are in progress or in contemplation which, if carried into effect, will result in the creation of a relevant merger situation; and that the creation of that situation has resulted, or may be expected to result, in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.<\/li>\n<li>Under <abbr title=\"Enterprise Act 2002\">the Act<\/abbr> a \u2018relevant merger situation\u2019 is created if 2 or more enterprises have ceased to be distinct enterprises; and the value of the turnover in the United Kingdom of the enterprise being taken over exceeds \u00a370 million (\u2018the turnover test\u2019) or as a result of the transaction, in relation to the supply of goods or services of any description, a 25% share of supply in the UK (or a substantial part of the UK) is created or enhanced (\u2018the share of supply test\u2019). <\/li>\n<li>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> considers that it is under a duty to make a phase 2 merger reference in this case under section 33(1) of <abbr title=\"Enterprise Act 2002\">the Act<\/abbr>. However, the duty to refer is not exercised while the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is considering whether to accept undertakings in lieu of a reference. <abbr title=\"The Original Bowling Company Ltd\">TOBC<\/abbr> has until 24 August 2015 to offer an undertaking to the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> that might be accepted by the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>. If no undertaking is offered or accepted, then the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> will by 1 September 2015 refer the merger for a phase 2 merger investigation. All the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s functions in phase 2 merger investigations are performed by inquiry groups chosen from the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s panel members. The appointed inquiry group are the decision-makers on merger investigations.
