{"id":70052,"date":"2016-04-29T06:00:01","date_gmt":"2016-04-29T06:00:01","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=c789d90f327c2934a76dd67127233741"},"modified":"2016-04-29T06:00:01","modified_gmt":"2016-04-29T06:00:01","slug":"press-release-pharmacy-sales-could-resolve-merger-concerns","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=70052","title":{"rendered":"Press release: Pharmacy sales could resolve merger concerns"},"content":{"rendered":"<div class=\"govspeak\">\n<p><abbr title=\"Celesio AG\">Celesio<\/abbr> AG (<abbr title=\"Celesio AG\">Celesio<\/abbr>), through its subsidiary <abbr title=\"Lloyds Pharmacy Limited\">Lloyds<\/abbr> Pharmacy Limited (<abbr title=\"Lloyds Pharmacy Limited\">Lloyds<\/abbr>), operates around 1,540 pharmacies across the UK. It intends to acquire 277 Sainsbury\u2019s pharmacy stores, which are generally within or next to Sainsbury\u2019s supermarkets.<\/p>\n<p>The Competition and Markets Authority (<abbr title=\"Competition and Markets Authority\">CMA<\/abbr>) referred the <a href=\"https:\/\/www.gov.uk\/cma-cases\/celesio-sainsbury-s-pharmacy-business-merger-inquiry\">case<\/a> for a <a href=\"https:\/\/www.gov.uk\/government\/news\/cma-refers-pharmacy-merger-for-in-depth-investigation\">phase 2 investigation in December 2015<\/a>. In a <a href=\"https:\/\/www.gov.uk\/cma-cases\/celesio-sainsbury-s-pharmacy-business-merger-inquiry\">summary of their provisional findings<\/a>, the inquiry group of independent panel members investigating the merger has identified 13 areas in England and Wales where the 2 companies\u2019 pharmacies are such close competitors that the merger would be expected to lead to a substantial lessening of competition (<abbr title=\"substantial lessening of competition\">SLC<\/abbr>).<\/p>\n<p>As well as the summary of provisional findings, a notice of possible remedies has also been <a href=\"https:\/\/www.gov.uk\/cma-cases\/celesio-sainsbury-s-pharmacy-business-merger-inquiry\">published<\/a> which outlines ways to address the competition concerns, including the sale of pharmacies in the affected areas.   <\/p>\n<p>Simon Polito, Inquiry Chair, said: <\/p>\n<blockquote>\n<p>This is a market in which the scope for competition is reduced compared with many retail mergers. The price of prescription medicines is fixed and there are a number of quality specifications which cannot be reduced below a minimum level because of regulation. However, we found that since pharmacies\u2019 total revenue is largely dependent on the number of prescriptions issued, pharmacies have an incentive to compete to try to attract additional customers.<\/p>\n<p>Consumers value various aspects of service quality and are likely to take these into account when choosing between pharmacies. This gives pharmacies the incentive to compete on these aspects in order to attract customers. We found evidence that there were some differences in the characteristics of Sainsbury\u2019s and <abbr title=\"Lloyds Pharmacy Limited\">Lloyds<\/abbr> pharmacy customers but we also found that customers would be willing to switch between <abbr title=\"Lloyds Pharmacy Limited\">Lloyds<\/abbr> and Sainsbury\u2019s pharmacies, particularly where the number of convenient competitor pharmacies was low.<\/p>\n<p class=\"last-child\">We have provisionally found that after the merger <abbr title=\"Lloyds Pharmacy Limited\">Lloyds<\/abbr> will no longer face sufficient competition in 13 areas and expect that in these areas customers will lose out.
