{"id":73346,"date":"2016-08-18T12:32:49","date_gmt":"2016-08-18T12:32:49","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=bd4d26588c904b862c3394b4b66270a5"},"modified":"2016-08-18T12:32:49","modified_gmt":"2016-08-18T12:32:49","slug":"press-release-merger-of-toy-suppliers-could-face-in-depth-investigation","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=73346","title":{"rendered":"Press release: Merger of toy suppliers could face in-depth investigation"},"content":{"rendered":"<div class=\"govspeak\">\n<p><abbr title=\"VTech Holdings Ltd\">VTech<\/abbr> Holdings Ltd (<abbr title=\"VTech Holdings Ltd\">VTech<\/abbr>) and <abbr title=\"LeapFrog Enterprises Inc\">LeapFrog<\/abbr> Enterprises Inc (<abbr title=\"LeapFrog Enterprises Inc\">LeapFrog<\/abbr>) are 2 of the 3 largest suppliers of toddler electronic learning toys and child laptops\/tablets in the UK. The Competition and Markets Authority\u2019s (<abbr title=\"Competition and Markets Authority\">CMA<\/abbr>) initial investigation has found that the companies compete closely in supplying these products to retailers and there are few other competitors.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> also found that, in the absence of the merger, both companies would have been close competitors in the supply of child electronic reading systems, which involve the audio narration of an accompanying physical book. At present, <abbr title=\"LeapFrog Enterprises Inc\">LeapFrog<\/abbr> is the only one of the 2 companies supplying these systems.<\/p>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> therefore believes that the merger could lead to a substantial lessening of competition in the market for these products which could lead to increased prices and a reduction in quality or choice for consumers.<\/p>\n<p><abbr title=\"VTech Holdings Ltd\">VTech<\/abbr> now has until 25 August to offer proposals to resolve the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s competition concerns. If <abbr title=\"VTech Holdings Ltd\">VTech<\/abbr> does not offer such undertakings, or if the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> does not accept the undertakings offered, the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> will refer the merger for an in-depth phase 2 investigation.<\/p>\n<p>Kate Collyer, Deputy Chief Economic Adviser and decision maker in this case, said:<\/p>\n<blockquote>\n<p><abbr title=\"VTech Holdings Ltd\">VTech<\/abbr> and <abbr title=\"LeapFrog Enterprises Inc\">LeapFrog<\/abbr> are 2 of the largest and best known brands supplying electronic toys and learning products for children. Retailers see them as close rivals and rely on competition between the companies to keep prices down.<\/p>\n<p>We are concerned that the merger could lead to prices rising, the quality of products going downhill or the range on offer being reduced.<\/p>\n<p class=\"last-child\">Given this, the merger warrants an in-depth investigation &#8211; unless <abbr title=\"VTech Holdings Ltd\">VTech<\/abbr> is able to offer suitable undertakings to address our concerns.<\/p>\n<\/blockquote>\n<h3 id=\"notes-for-editors\">Notes for editors<\/h3>\n<ol>\n<li>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is the UK\u2019s primary competition and consumer authority. Sign up to our <a href=\"https:\/\/www.gov.uk\/cma-cases\/email-signup\">email alerts<\/a> to receive updates on merger cases.<\/li>\n<li>Under the Enterprise Act 2002 (the Act) the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has a duty to make a merger reference, resulting in an in-depth phase 2 merger investigation, if the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> believes that it is or may be the case that a \u2018relevant merger situation\u2019 has been created, or arrangements are in progress or in contemplation which, if carried into effect, will result in the creation of a relevant merger situation; and that the creation of that situation has resulted, or may be expected to result, in a substantial lessening of competition within any market or markets in the United Kingdom for goods or services.<\/li>\n<li>Under the Act a \u2018relevant merger situation\u2019 is created if 2 or more enterprises have ceased to be distinct enterprises; and the value of the turnover in the United Kingdom of the enterprise being taken over exceeds \u00a370 million (\u2018the turnover test\u2019) or as a result of the transaction, in relation to the supply of goods or services of any description, a 25% share of supply in the UK (or a substantial part of the UK) is created or enhanced (\u2018the share of supply test\u2019).<\/li>\n<li>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> considers that it is under a duty to make a phase 2 merger reference in this case under the Act. However, the duty to refer is not exercised while the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is considering whether to accept undertakings in lieu of a reference. <abbr title=\"VTech Holdings Ltd\">VTech<\/abbr> has until 25 August to offer an undertaking to the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> that might be accepted by the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>. If no undertaking is offered or accepted, then the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> will by 2 September refer the merger for a phase 2 merger investigation.<\/li>\n<li>All the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s functions in phase 2 merger investigations are performed by inquiry groups chosen from the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s panel members. The appointed inquiry group are the decision makers on merger investigations.
