{"id":83981,"date":"2017-09-05T10:05:04","date_gmt":"2017-09-05T10:05:04","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=98d7046c513275b100d73b34b4fcabdb"},"modified":"2017-09-05T10:05:04","modified_gmt":"2017-09-05T10:05:04","slug":"news-story-new-cma-guidance-to-improve-merger-process","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=83981","title":{"rendered":"News story: New CMA guidance to improve merger process"},"content":{"rendered":"<div class=\"govspeak\">\n<p>The Competition and Markets Authority (<abbr title=\"Competition and Markets Authority\">CMA<\/abbr>) is making 3 changes, which are intended to provide additional guidance to merging companies, streamline the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s process and reduce the requirements on businesses.<\/p>\n<h3 id=\"initial-enforcement-orders\">Initial enforcement orders<\/h3>\n<p>The first change is the <a href=\"https:\/\/www.gov.uk\/government\/publications\/initial-enforcement-order-template\">publication of additional guidance<\/a> on the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s use of <abbr title=\"initial enforcement orders\">IEOs<\/abbr>. These are orders that may be put into place during its investigations to prevent merging companies from integrating in a way that could affect the outcome or interfere with the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s ability to introduce any necessary measures.<\/p>\n<p>The guidance, which reflects comments received in a recent <a href=\"https:\/\/www.gov.uk\/government\/consultations\/initial-enforcement-orders-and-derogations-in-merger-investigations\">consultation<\/a>, provides further clarification on:<\/p>\n<ul>\n<li>the circumstances in which an <abbr title=\"initial enforcement order\">IEO<\/abbr> will typically be imposed;<\/li>\n<li>the form that an <abbr title=\"initial enforcement order\">IEO<\/abbr> will typically take;<\/li>\n<li>the types of derogations that the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> is likely to grant; and<\/li>\n<li>the timing for imposing and revoking <abbr title=\"initial enforcement orders\">IEOs<\/abbr> and granting derogations.<\/li>\n<\/ul>\n<h3 id=\"merger-notice-form\">Merger notice form<\/h3>\n<p>The <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has also made a number of changes to the <a href=\"https:\/\/www.gov.uk\/government\/publications\/mergers-forms-and-fee-information\">merger notice form<\/a>, reflecting comments received in a recent <a href=\"https:\/\/www.gov.uk\/government\/consultations\/merger-notice-template\">consultation<\/a>, that are intended to reduce the overall amount of information that businesses need to provide.<\/p>\n<p>The changes include making the form clearer to understand, eliminating unnecessary questions and providing additional guidance on what information is and isn\u2019t likely to be required by the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> in any given case.<\/p>\n<h3 id=\"revised-guidance-on-the-cmas-mergers-intelligence-function\">Revised guidance on the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr>\u2019s mergers intelligence function<\/h3>\n<p>Finally, the <abbr title=\"Competition and Markets Authority\">CMA<\/abbr> has also made some minor amendments to the guidance on its <a href=\"https:\/\/www.gov.uk\/government\/publications\/cmas-mergers-intelligence-function-cma56\">merger intelligence function<\/a>.
