{"id":92705,"date":"2018-06-11T10:03:09","date_gmt":"2018-06-11T10:03:09","guid":{"rendered":"http:\/\/mostafa.openonline.co.uk\/?guid=1ae493cad24adfa98cd85e18a65cdeb0"},"modified":"2018-06-11T10:03:09","modified_gmt":"2018-06-11T10:03:09","slug":"statement-to-parliament-hexagon-agreement-notification-of-a-contingent-liability","status":"publish","type":"post","link":"https:\/\/mostafa.openonline.co.uk\/?p=92705","title":{"rendered":"Statement to Parliament: Hexagon agreement: notification of a contingent liability"},"content":{"rendered":"<div class=\"govspeak\">\n<p>I have today (11 June 2018) laid before Parliament a departmental minute describing 3 contingent liabilities relating to a tripartite deal between Heathrow Airport Limited (<abbr title=\"Heathrow Airport Limited\">HAL<\/abbr>), First Greater Western Limited (<abbr title=\"First Greater Western Limited\">FGW<\/abbr>) and the Department for Transport.<\/p>\n<p>Unfortunately, due to the urgent need to finalise the deal and the confidential commercial nature of the negotiations it was not possible to notify Parliament of the particulars of the liability and allow the required 14 days\u2019 notice prior to the liabilities going live. A delay would have resulted in higher <abbr title=\"High Speed Two\">HS2<\/abbr> costs and an increased scheduling risk impacting on the December 2026 opening date for Phase One.<\/p>\n<p>The main element of the deal is a service agreement between <abbr title=\"First Greater Western Limited\">FGW<\/abbr>, <abbr title=\"Heathrow Airport Limited\">HAL<\/abbr> and Heathrow Airport Operating Company (<abbr title=\"Heathrow Airport Operating Company\">HEOC<\/abbr>) for the continuation of non-stop rail services between Paddington and Heathrow Airport. Under this agreement <abbr title=\"First Greater Western Limited\">FGW<\/abbr> will assume operation of Heathrow Express services. Although this is an agreement between private sector companies, there are significant benefits to the department, in particular, savings generated from not building a replacement depot for Heathrow Express rolling stock at Langley (the land on which the current depot is situated at Old Oak Common is needed by <abbr title=\"High Speed Two\">HS2<\/abbr> for the construction of the high speed railway).<\/p>\n<p>In order to conclude the deal, and secure departmental\/<abbr title=\"High Speed Two\">HS2<\/abbr> benefits, the department needed to offer indemnities in relation to 3 risks that the parties were unwilling or unable to assume or manage. The financial exposure is not high \u2013 a conservative estimate is c\u00a312 million. But they are unusual and outside the department\u2019s normal course of business.<\/p>\n<p>The 3 contingent liabilities are:<\/p>\n<p>First, indemnifying <abbr title=\"First Greater Western Limited\">FGW<\/abbr> against the cost of any delay to delivery of new rolling stock required to operate Heathrow Express services. The department\u2019s exposure is estimated to be \u00a32.25 million.<\/p>\n<p>Second, indemnifying <abbr title=\"First Greater Western Limited\">FGW<\/abbr> against the cost of any redundancies following the transfer of staff, mainly drivers, from <abbr title=\"Heathrow Airport Limited\">HAL<\/abbr> to <abbr title=\"First Greater Western Limited\">FGW<\/abbr>. The cost is estimated to be c\u00a33.2 million.<\/p>\n<p>Third, an indemnity against contagion from a wider industrial relations dispute \u2013 nationwide or franchise wide. The exposure is estimated to be \u00a36.8 million.<\/p>\n<p>The Treasury approved these liabilities before they were activated. However, if any Member of Parliament has concerns, he\/she may write to me within the next 14 parliamentary sitting days.
